Applicable to the Seller Monetization Terms and Conditions of Azerion Technology B.V.

These Supply Guidelines are the Supply Guidelines referred to in the Seller Monetization Terms and Conditions of Azerion Technology B.V. (the “Terms”). They are incorporated into and form part of the Agreement between Azerion and Seller. Capitalised terms used in these Supply Guidelines have the meaning given to them in the Terms. In case of any inconsistency between these Supply Guidelines and the Terms, the Terms prevail.

1. Status and Scope
   1. These Supply Guidelines apply to all Properties, to all Ad Inventory made available by Seller to the Platform, and to Seller’s use of the Platform and the Services.
   2. Compliance with these Supply Guidelines is a continuing obligation of Seller. Any failure to comply is a breach of the Agreement and entitles Azerion to exercise the rights set out in the Terms, including suspension of the Services, treatment of the relevant traffic as Invalid Traffic, deduction or claw-back of amounts paid or payable, and suspension or termination of the Account.
   3. Where a Property is directed at, or accessible from, more than one country, Seller shall comply with the strictest requirement applicable to any of those countries.
   4. These Supply Guidelines set minimum requirements. They do not limit any other obligation of Seller under the Agreement or under applicable law, and compliance with them does not guarantee that a Property or any Ad Inventory will be accepted or monetized.
2. Properties
   1. Seller shall make Ad Inventory available to the Platform only from Properties which Seller has registered in the Account and which Azerion has accepted.
   2. Seller shall own, operate or control each Property, or hold the contractual right to market and sell the Ad Inventory on it, and shall be able to evidence that right at Azerion’s first request.
   3. Seller shall implement and maintain a correct and current ads.txt file, and where technically applicable an app-ads.txt file, listing Azerion and its sales partners as authorized digital sellers in the form provided by Azerion. Azerion may make acceptance of a Property conditional on verification of ownership and of correct ads.txt implementation.
   4. Each Property shall comply with applicable laws and regulations, such that monetization thereof through the Services does not constitute a liability or breach for either Party.
   5. Seller shall inform Azerion without undue delay of any material change to a Property, including a change of ownership or control, a material change in the nature of its content, a material change in its traffic sources, and any regulatory, enforcement or court action concerning it.
   6. Azerion may reject or remove any Property at any time, at its discretion and without stating reasons.
3. Implementation of Tags, SDKs and Ads
   1. Seller shall implement the Tags and SDKs in accordance with the technical requirements and specifications provided by Azerion, and shall not alter, change or modify them in any way except as agreed in writing with Azerion or on removal following termination.
   2. Seller shall not use, in connection with any Ads, URL re-directions, framing techniques, pop-up windows, new consoles, or any other item or technique that alters or blocks the appearance, presentation or functionality of any Ads, nor of any advertiser’s website or mobile store URL from that seen by a Visitor entering the applicable URL directly into their browser.
   3. Seller shall not include Ads in any location other than an accepted Property.
   4. Ads shall be clearly distinguishable from editorial content, shall not be obscured, stacked, overlapped or placed outside the visible area of the Property, and shall not be placed in a manner designed to cause accidental interaction.
   5. Seller shall not license, sell, assign, distribute or otherwise commercially exploit the Platform or the Services, or make them available to any third party.
4. Traffic Quality
   1. Seller shall not generate, or permit the generation of, Impressions, clicks or conversions by any method that constitutes Invalid Traffic as defined in the Terms, or that may reasonably be construed as such.
   2. Without limiting the foregoing, Seller shall not offer or permit incentives for viewing or interacting with Ads, deploy automated agents or scripts to simulate Visitor activity, or acquire traffic from any source that is undisclosed, artificial or misrepresented.
   3. Seller shall disclose to Azerion, at its first request, the sources of traffic to each Property, including any paid, syndicated, arbitraged or third-party acquired traffic, and any change in those sources.
   4. Seller shall assist and cooperate with Azerion in the deployment and use of verification and measurement tools, and shall not obstruct, circumvent or interfere with their operation.
5. Prohibited Content
   1. Seller shall not provide or submit Properties or Ad Inventory that contain, promote, facilitate or link to:
      1. illegal activity, illegal goods or illegal services of any kind;
      2. content that is hateful towards, or that disparages, any person or group by reference to race, religion, belief, gender, gender identity, sexual orientation, disability, age or nationality;
      3. firearms, bombs, other weapons, ammunition or explosives, or instructions relating to any of them;
      4. pornography, graphic sexual depictions, or other sexually explicit material;
      5. indecent, obscene, violent, gratuitously shocking or highly inflammatory subject matter;
      6. child sexual abuse material, or any other content that sexualises, exploits or endangers minors;
      7. terrorist content, or content that incites, promotes or glorifies violence, self-harm or extremism;
      8. illegal file-sharing, including unlicensed music, video or software, or the circumvention of technical protection measures;
      9. adware, spyware, hacking tools, malware, or techniques for compromising devices, accounts or networks;
      10. the unlicensed sale or supply of pharmaceuticals, controlled substances, tobacco or nicotine products, alcohol or gambling services;
      11. fraudulent, deceptive or misleading claims, including deceptive health, financial or earnings claims, and content designed to imitate a news source or a public authority;
      12. religious, political, highly inflammatory or otherwise sensitive subject matter that is likely to be offensive to the sensibilities of one or more groups of Visitors, and any other content that Azerion or a buyer reasonably declines to monetize; and
      13. content that breaches applicable laws or infringes the rights of any third party, including intellectual or industrial property rights.
   2. Seller shall not make Ad Inventory from a Property that is directed at children or at minors available to the Platform. Seller shall inform Azerion in writing before making available Ad Inventory from any Property that is likely to be accessed by minors to a significant extent, and shall flag any such Property in the Account where the functionality to do so is provided.
   3. Seller shall not pass to Azerion, or to any buyer or partner engaged by Azerion, any personal data of a child or a minor as defined under any applicable law, and shall not enable or request advertising based on profiling using personal data of minors. Azerion may suspend the Services in whole or in part with immediate effect where it believes that Seller has failed to comply with this Article. 
6. Malicious Code and Security
   1. Seller shall not include Ads in any Property generated by an adware, spyware, malware or peer-to-peer file-sharing application.
   2. Seller shall not integrate into the Platform, or promote through any Property, any website, app or content containing software viruses, worms, Trojan horses or other harmful computer code, and shall not otherwise interfere with or disrupt the integrity or performance of the Platform, the Services or a Visitor’s device.
   3. Seller shall maintain reasonable security measures over the Account and over each Property, and shall inform Azerion without undue delay of any security incident affecting a Property, the Ad Inventory or the Account.
7. Legal and Regulatory Compliance
   1. Seller is solely responsible for the content of the Properties and for ensuring that each Property complies with all applicable laws, regulations, trade association standards and other applicable requirements, including those governing illegal content, advertising, transparency, consumer protection and the protection of minors.
   2. Seller shall provide the transparency information required in respect of the processing of personal data of Visitors, and shall obtain and maintain any consent required for the placing of cookies or similar technologies on a Visitor’s device and for the processing of personal data for advertising purposes, in accordance with the Data Protection Addendum.
   3. Seller shall not make available any Property or Ad Inventory that is operated by, or that promotes, a Sanctioned Person or activity subject to Sanctions.
8. Notice and Takedown
   1. Where Azerion notifies Seller that any Property, content or Ad Inventory is or may be illegal, in breach of these Supply Guidelines or in breach of applicable law, Seller shall remove or disable access to it and confirm to Azerion that it has done so within twenty-four (24) hours of the notice. In cases where deemed necessary due to urgency or compliance, Azerion shall have the right to take any steps available and deemed necessary to achieve the same purpose.
   2. Seller shall maintain, and keep current in the Account, an e-mail address monitored for the purpose of receiving notices under this Article.
   3. Azerion may suspend the monetization of the relevant Property or Ad Inventory with immediate effect and for as long as it considers necessary, whether or not Seller has complied with the preceding provisions of this Article.
9. Consequences of Non-Compliance
   1. Detection of, or any reasonable suspicion of, non-compliance with these Supply Guidelines entitles Azerion to exercise the rights set out in the Terms, including to partially or fully de-activate the Account temporarily or permanently, to withhold Revenue, to deduct or claw-back amounts paid or payable to Seller for the affected Ad Inventory, to obtain a refund of prior payments, to treat the relevant traffic as Invalid Traffic, and to set off any resulting amount against future payments to Seller.
10. Changes to these Supply Guidelines
    1. Azerion may amend these Supply Guidelines. Any amendment takes effect 10 business days after the amended version is published and notice of the change is provided to Seller in writing.
    2. If Seller cannot reasonably be held to continue the Agreement following an amendment, Seller may terminate the Agreement with immediate effect by written notice given before the amendment takes effect, in which case Seller has no right to claim compensation from Azerion. Continued use of the Platform or the Services after the amendment takes effect constitutes acceptance of the amendment.
    3. Azerion may communicate further guidelines to Seller relating to the Ad Inventory or the Properties, whether for reasons of compliance or of technical integration. Such communications form part of these Supply Guidelines and are binding on Seller upon receipt.
